Terms of Use
Version 1.1 · Effective 29 August 2026
1. Provider, scope and agreement
These Terms of Use (the “Terms”) are a binding agreement between IGOR KOTSAR Ε.Ε., a Greek limited partnership registered in English as IGOR KOTSAR L.P., GEMI number 188841201000, VAT number EL803077373, with registered office at 14 Kythiron Street, Porto Rafti, Markopoulo Mesogaias, East Attica 19023, Greece (“BusinessVisor”, “we”, “us”), and the individual acting in a business or professional capacity, sole trader, company or other organisation for whose benefit an owner account is created or which is identified in an Order (“Customer”, “you”).
The “Service” means the BusinessVisor.AI websites and web application, dashboards, reporting links, notifications, subscription and billing functions, and AI-assisted reports. By creating an owner account, completing Checkout or accepting an Enterprise offer or other Order, the person acting for the Customer accepts these Terms for the Customer and confirms that they are at least 18, act solely for business, trade or professional purposes, and have authority to bind the Customer.
An “Authorised User” is an individual whom the Customer permits to access an account. A “Report Recipient” is an individual invited to submit information through a reporting link. Authorised Users and Report Recipients must be at least 18, use the Service only in a business or professional capacity and comply with the user obligations applicable to them, but they do not become the subscription Customer or bind an organisation unless they have authority to do so. Our Privacy Policy explains data processing and is acknowledged rather than accepted as contractual consent.
The Service is offered only where lawful and is not offered for personal, family, household or consumer use. If mandatory law nevertheless treats a person as a consumer, nothing in these Terms removes rights that cannot lawfully be waived.
2. Accounts, roles and security
Customers must provide accurate information, keep access to their email and devices secure, and promptly notify [email protected] of suspected unauthorised access. One-time codes and reporting links are confidential credentials. Do not forward them except to the intended authorised recipient.
The Customer controls its businesses, dashboards and permissions and is responsible for activity under its account and for ensuring that each authorised user complies with these Terms. We may rely on instructions made through authenticated accounts unless we know that access is unauthorised.
Remote management may be enabled by the Customer’s owner or starts enabled where an assigned manager creates the account for the Customer as part of a managed relationship. It is usable only while the required Enterprise entitlement is active. The owner may disable it in profile settings. While enabled, an authorised administrator or assigned manager may use the access shown in the Service to view, create, modify or delete Customer Data for management or support, including a root business and related data where the granted role permits it. The Customer must review changes made through this access.
- Owner access may manage the account, businesses, users, subscription and billing.
- Edit and View access is limited to the businesses and functions made available by the Customer.
- Responsible access may edit an assigned child dashboard and the functions made available there.
- Report access may let a recipient submit assigned information through a time-limited link without opening a full account.
3. Trials, plans and capacity
A new eligible Customer may receive the 30-day Trial shown in the Service without providing a payment card. A Trial does not become a paid subscription unless the Customer actively purchases a plan. When it ends, access to Customer-owned areas may stop, while access separately granted by another active Customer may continue. Duplicate, fraudulent or abusive Trials may be refused or closed.
Paid plan prices, included capacity and limits are shown on the Pricing page, at Checkout or in an Enterprise offer. Fixed plans may limit main businesses and other resources; child dashboards, custom structures and remote management may be Enterprise functions. We may prevent an action or downgrade until current usage fits the selected plan.
An “Order” means the plan selection confirmed at Stripe-hosted Checkout, an Enterprise offer accepted through the Service, an order form, or another purchasing document accepted by the Customer and BusinessVisor. The Order identifies the commercial terms shown in it. Any additional implementation scope or onboarding schedule must be recorded in a signed order form or another written record agreed by the parties. A signed agreement prevails over these Terms only to the extent it expressly says so.
Subject to these Terms and the applicable plan, we grant the Customer a limited, non-exclusive, non-transferable right to use the Service during the entitlement period for internal business purposes. The Customer may not resell, sublicense or make the Service available as a competing product.
4. Subscriptions, plan changes and payment
Paid plans are monthly subscriptions billed in advance and renewed automatically until cancelled. The applicable price, currency, any taxes we collect, limits and billing date are shown before confirmation in the Service or Stripe-hosted Checkout. Stripe processes payment details; we do not receive or store full card numbers. The Customer must keep billing and VAT information accurate and is responsible for applicable taxes, bank charges and currency-conversion costs not collected by us.
A requested plan change takes effect when Stripe confirms it; once effective, it applies immediately. Stripe may calculate prorated charges or credits for the unused part of the current period. An upgrade may create an immediate charge; a downgrade may create a non-transferable credit applied to future invoices rather than a cash refund. New limits apply when the change becomes effective, and a change may be blocked until usage fits them. The next renewal uses the new plan price after available Stripe credit.
The Customer may cancel through the billing portal. Cancellation stops renewal but normally takes effect only at the end of the already paid period. Except where mandatory law requires otherwise or we expressly agree in writing, fees and unused subscription time are non-refundable. An onboarding fee applies only where stated in an Order and becomes non-refundable after BusinessVisor documents commencement of that work and gives the Customer written notice.
We may retry failed payments and suspend paid functions for failed or overdue payment. Enterprise arrangements remain subject to these Terms unless a document signed by both parties expressly overrides a provision. If we discontinue a paid Service without cause before the paid-through date, we will refund the prepaid fee attributable to the unavailable period.
5. Customer Data and responsibilities
“Customer Data” means information submitted to the Service by or for the Customer, including business details, dashboards, metrics, comments, user and contact details, reporting submissions and instructions. As between the parties, the Customer retains its rights in Customer Data. The Customer grants us and our subprocessors a limited right to host, copy, transmit, organise, analyse and otherwise process it only as needed to provide, secure, support and maintain the Service, comply with law, and follow documented instructions.
The Customer decides what Customer Data is entered, who receives access and how the Service is used. The Customer must have a lawful basis, authority and all necessary notices or permissions for Customer Data, invited users, reporting recipients and messaging channels. The Customer is responsible for its accuracy, legality and quality and for decisions or actions based on it.
“Output” means scores, summaries or reports generated by AI-assisted functions from Customer Data. As between the parties and subject to applicable law and third-party rights, the Customer may use Output for its internal business purposes and we assign to the Customer any rights we may have in that Output. Output may not be unique and does not include rights in the Service, models or underlying technology.
“Service Data” means technical, security, billing and operational metadata generated by BusinessVisor in operating the Service, and aggregated or de-identified usage information that does not reasonably identify a Customer or individual. BusinessVisor may use Service Data to provide, secure, support, analyse and improve the Service and comply with law.
The Customer must keep an independent copy of information it cannot afford to lose before deleting its account. The Service does not provide a guaranteed commercial export and is not a statutory accounting archive, records-management system or substitute for the Customer’s own backup and compliance procedures. This does not limit applicable data-protection rights.
6. Restricted and sensitive information
The Service is designed for ordinary business performance and operational information, not highly sensitive or regulated records. Unless we expressly agree in a separate signed document, the Customer must not place in dashboards, comments, prompts, reporting forms or other free-text fields any passwords, authentication secrets, full payment-card or bank-account details, government identification numbers, medical records, biometric or genetic data, precise location histories, criminal-offence data, information about children, classified or export-controlled data, or special-category personal data under Article 9 GDPR. This restriction does not prevent the Customer from entering billing, tax or payment information requested in designated Stripe-hosted fields.
Aggregated or genuinely de-identified business metrics may be used if they cannot reasonably identify an individual. Free-text fields must not be used to bypass these restrictions. If prohibited data is submitted, the Customer must stop further submission, notify us promptly and cooperate in lawful removal or restriction; we may remove or restrict it to protect the Service and affected persons.
7. Data Processing Addendum
This section forms a data processing agreement under Article 28 GDPR when BusinessVisor processes personal data in Customer Data on the Customer’s behalf. The Customer is the controller, or a processor authorised by its controller, and BusinessVisor is the processor. Processing lasts for use of the Service and the limited retention described in the Privacy Policy.
The subject matter is provision of the Service. Processing may include collection, recording, organisation, storage, retrieval, transmission, analysis, restriction and deletion for dashboards, reporting, notifications, AI-assisted analysis, support and security. Data subjects may include the Customer’s personnel, managers, clients, contractors and invited reporting recipients. Data may include identity and business contact details, roles and permissions, professional or operational information, communications, submissions and other Customer Data permitted by these Terms.
- We process personal data only on documented instructions provided through these Terms, Service settings and lawful support requests, unless EU or Greek law requires otherwise. Where legally permitted, we will inform the Customer before processing required by law. We will promptly inform the Customer if, in our opinion, an instruction infringes applicable data-protection law.
- We ensure authorised persons are bound by confidentiality and apply appropriate technical and organisational security measures.
- The Customer gives general authorisation to the subprocessors identified in the Privacy Policy. We will impose substantially the same Article 28 data-protection obligations on each subprocessor and remain responsible for its performance to the extent required by law. We will give the account owner reasonable advance email notice of every intended addition or replacement. A substantiated data-protection objection may be raised at [email protected] during the notice period; if no reasonable alternative exists, either party may end the affected Service.
- Taking account of the nature of processing and information available to us, we will reasonably assist with data-subject requests, security incidents, DPIAs and regulator enquiries. We will notify the Customer without undue delay after becoming aware of a personal-data breach affecting Customer Data.
- At the end of processor services, the Customer may request in writing, before account deletion, return of Customer Data in a reasonably available format; we are not required to develop a custom export tool. If no return is requested, the Customer instructs us to delete it. We will then delete existing copies, except where applicable law requires retention and subject to the technical lifecycle described in the Privacy Policy. On reasonable request, we will provide information necessary to demonstrate compliance. Audits must first use available documentation, protect other customers and security, and occur no more than annually unless required by a regulator, a personal-data breach or substantiated evidence of non-compliance. The requesting Customer bears reasonable audit costs unless the audit reveals our material breach.
- For restricted international transfers, each party will comply with Chapter V GDPR and execute or ensure the use of the applicable European Commission Standard Contractual Clauses, UK addendum or other lawful transfer instrument, with completed annexes and the roles appropriate to the transfer, where required.
8. AI-assisted output
The Service may send selected business context to an AI provider to create scheduled scores, summaries or reports for eligible active accounts. AI output is probabilistic and may be inaccurate, incomplete, outdated, non-unique or unsuitable. It is provided only as a management aid and is not legal, financial, tax, accounting, investment, employment, medical or other professional advice.
The Customer must review source data and independently verify output before relying on it. The Customer remains solely responsible for business decisions and must not use output as the sole basis for a decision producing legal or similarly significant effects for an individual. We do not warrant a particular result, prediction, saving, revenue or business outcome.
9. Communications and third-party services
The Customer authorises operational email needed for authentication, security, billing, trial and subscription administration, reporting invitations and delivery, and essential Service notices; these messages are not marketing. Operational notifications always use email; recipients may enable additional push notifications on each device. The Customer must provide any required notice or obtain any required consent before adding a person or enabling optional messages and must honour opt-outs. Delivery depends on the provider, network, device and recipient settings and is not guaranteed.
The Service interoperates with third-party services such as Stripe, OpenAI, DigitalOcean, Resend and browser or operating-system push services. Their systems may be subject to separate terms and privacy notices. We are not responsible for a third party’s independent acts, interruption, account restriction or change, but remain responsible for our own obligations that cannot lawfully be excluded.
10. Acceptable use and confidentiality
Users must not use the Service unlawfully; infringe privacy, confidentiality or intellectual-property rights; send spam or deceptive messages; upload malicious code; probe or bypass security, access controls or plan limits; scrape or reverse engineer except where law expressly permits; interfere with operation; impersonate another person; access data without authority; or use the Service for unlawful surveillance, discrimination or high-impact automated decisions.
Each party must protect non-public information received from the other using reasonable care and use it only for these Terms. This does not cover information that is public without breach, already lawfully known, independently developed or lawfully obtained elsewhere. A party may disclose information when required by law, after giving notice where legally permitted.
11. Intellectual property and feedback
BusinessVisor and its licensors own the Service, software, designs, documentation, branding and related intellectual-property rights. Except for the limited right to use the Service, no rights are transferred. The Customer must not remove notices or use our name or marks without permission.
Voluntary suggestions or feedback may be used by us worldwide, perpetually, irrevocably and royalty-free without identifying the Customer or disclosing its confidential information. We may use aggregated and de-identified information that cannot reasonably identify the Customer or a person to operate, secure and improve the Service.
12. Availability, support and changes
The Service is provided on a best-efforts basis without a service-level agreement or guaranteed support response time. Maintenance, security work, provider outages, internet failures and events beyond reasonable control may interrupt access. We may modify or discontinue features, but will use reasonable efforts not to materially reduce core paid functionality during a paid period without notice or a reasonable alternative. If we decide to discontinue the paid Service as a whole, we will normally give the account owner at least 30 days’ email notice and provide the refund described in Section 4, except where law, security or a third-party restriction requires earlier action.
Urgent changes may be deployed immediately for security, legal or reliability reasons. Neither party is liable for delay caused by events beyond its reasonable control, provided reasonable steps are taken to reduce their effect.
13. Suspension, termination and deletion
We may suspend or restrict access where reasonably necessary for a security risk, unlawful use, material breach, non-payment, third-party platform restriction or legal requirement. Where practicable, we will explain the reason and allow a reasonable opportunity to remedy a curable breach. We may terminate immediately for serious or repeated breach, fraud or conduct risking harm to the Service or others.
The Customer may stop using the Service and request account deletion after ending active subscriptions and pending payment flows. Account deletion cannot be undone. Core content is removed from the active application database, but financial, security and transaction records, provider-held records and residual copies may remain as described in the Privacy Policy or required by law. Ending a subscription does not itself delete the account or Customer Data.
Provisions which by nature should survive remain effective, including payment, confidentiality, intellectual property, retention exceptions, disclaimers, liability, indemnity and disputes.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, uninterrupted or error-free operation, accuracy, non-infringement and results. We do not warrant that Customer Data, reminders, integrations or messages will always be available, delivered or preserved.
Nothing excludes an express written commitment made by us or a warranty or remedy that applicable law does not permit the parties to exclude. The Customer is responsible for assessing whether the Service is suitable for its business, industry and legal obligations.
15. Liability and indemnity
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary or consequential loss, or lost profits, revenue, opportunity, goodwill or anticipated savings. We are not responsible for losses caused by inaccurate Customer Data, Customer instructions or decisions, unauthorised use attributable to the Customer, failure to maintain independent records, or a third party outside our reasonable control.
To the maximum extent permitted by law, BusinessVisor’s aggregate liability arising out of or relating to the Terms or Service under any legal theory will not exceed the greater of EUR 100 and the fees paid or payable for the affected account during the 12 months before the first event giving rise to liability. These limits do not apply where liability cannot lawfully be excluded or limited, including fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, infringement of personality or data-subject rights, or other mandatory statutory liability.
To the extent permitted by law, the Customer will indemnify BusinessVisor and its personnel against third-party claims, regulatory penalties or assessments to the extent legally indemnifiable, and reasonable external legal costs arising from unlawful Customer Data or instructions, lack of required authority or messaging consent, material breach of these Terms, or an Authorised User’s use, except to the extent caused by our breach or non-excludable fault. We will promptly notify the Customer and allow reasonable control of the defence, subject to our right to participate and approve a settlement imposing liability or an admission on us.
16. Changes to Terms and prices
We may update these Terms for legal, security, operational or product reasons. We will send the account owner at least 30 days’ advance email notice of a material adverse change; an in-product notice may supplement that email. A price increase for an existing subscription takes effect no earlier than the first renewal occurring after at least 30 days from that email or one full billing cycle, whichever is longer. The Customer may cancel before the effective date.
Non-material clarifications and solely beneficial changes may take effect when published. An urgent change required by law or needed to address a security threat may take effect sooner; we will notify the account owner as promptly as reasonably possible. Continued use after the effective date constitutes acceptance only to the extent permitted by law, and we will request affirmative acceptance where applicable law requires it for a material change to liability or data rights. Changes do not operate retroactively against accrued rights.
17. General, law, disputes and language
These Terms, the applicable Order and any expressly incorporated signed agreement are the entire agreement about the Service. The Privacy Policy explains processing of personal data and is not part of this contractual entire-agreement clause. If a provision is unenforceable, it is limited to the minimum necessary and the remainder stays effective. Failure to enforce is not a waiver. The Customer may not assign these Terms without consent; we may assign them as part of a reorganisation or transfer of the Service, subject to law.
These Terms and related non-contractual obligations are governed by Greek law. The parties will first try in good faith for 30 days to resolve a dispute by contacting [email protected]. Unless mandatory law requires another forum, the courts of Athens, Greece have exclusive jurisdiction. Either party may seek urgent protective relief without waiting 30 days.
The English version controls if a translation differs, to the extent permitted by law. Legal notices to BusinessVisor must be sent to [email protected] and may also be mailed to the registered office in Section 1.
